David S. Demian practices in the areas of business law, real
estate
law, and construction law. He is primarily a transactional
attorney but has tried enough cases to appreciate the
ramifications of a poorly worded document and the value of
front-end planning. Mr. Demian's practice includes advising
clients on general business, corporate and real estate matters,
including
real estate purchases, sales, leases,
corporate structuring and restructuring, corporate finance,
acquisitions, business continuity planning, executive
compensation, regulatory issues, licensing, interest transfers
and operational issues.
Mr. Demian has in depth knowledge of federal and state
government contracting, including of the Federal Acquisition
Regulations and SBA programs. He provides advice on the
structuring of small businesses desiring to operate and qualify
in state and federal programs such as Women Owned Small
Business, HUBZone Small Business, Veteran Owned Small Business,
and 8(a) Small Business and Disadvantaged Business Enterprises.
Mr. Demian also handles federal and state bid protests
and size appeals before GAO and other public entities.
Mr. Demian
is admitted to practice before all California state courts and
the U.S. District Court, Southern District. He is a member of
the State Bar of California; the San Diego County Bar
Association and Harvard Club of San Diego. Mr. Demian is also a
California licensed Real Estate Broker. He received his juris
doctor from the University of San Diego School of Law, and his
Bachelor of Arts in Government from Harvard University. While at
Harvard, Mr. Demian captained the school's basketball team to
its best record since 1946.
